Alphabet's FY2025 revenue of $402.8B (+15% YoY) and Q1-26 acceleration to $109.9B (+22%) make this the most operationally consistent mega-cap in technology. But at $349 / ~$4.25T mcap the stock trades at 30x forward P/E — essentially on top of the mega-cap tech peer median. Our $385 12-month price target is the weighted blend of five methods (DCF perpetuity 15%, DCF exit-multiple 30%, Comps Forward P/E 30%, Comps EV/EBITDA 15%, Scenarios 10%); weighted math = $374 rounded up to $385 for Cloud backlog and Waymo option-value cushion.
■Cloud backlog of $460B is the single largest data point in the bull case. Q1-26 Cloud revenue grew 63% YoY to $20.0B, and management disclosed a $460B remaining-performance-obligation backlog — the largest contracted-revenue visibility of any public cloud provider. Our base case has Cloud growth decelerating from +50% FY26E to +25% FY30E, taking Cloud to $274B (35% of total Alphabet revenue) by year-end FY30E. This is the empirical evidence underpinning the exit-multiple DCF ($398/share) and is why we are not HOLD.
■FY2026-28 capex peak compresses near-term FCF; the harvest comes by FY2029. FY26E capex guided $180-190B (raised from $175-185B at the Q1 print), with a $80B equity raise announced June 2026 to part-fund the AI buildout. Free cash flow compresses to $25B in FY26E (5% margin) before recovering to $236B (30% margin) by FY30E. The DCF perpetuity method weights this trough heavily and produces only $168/share; the exit-multiple method weights the FY30 EBITDA terminal and produces $398. The market currently prices closer to the exit-multiple view.
■Antitrust overhang is the largest single tail risk; base case is behavioral remedies. September 2025 Mehta remedies (no exclusive distribution, mandatory data sharing) are now in appellate proceedings (Google filed May 22, 2026; DOJ/states cross-appealed Feb 3, 2026). Morgan Stanley estimated $15-25B annual ad revenue at risk under adverse scenarios — material but not catastrophic against $295B FY25 ad revenue. Our base case is behavioral remedies confirmed; structural Chrome divestiture we assign ~15% probability with -25% target impact if it materializes.
GOOG at $349 trades materially ABOVE its own 8-year average on P/E (30x vs mean ~23x) — the AI re-rating since 2024 has compressed valuation upside on this multiple. EV/EBITDA tells a similar story at 22x vs the 17-18x long-run mean. The defensible bull case requires earnings to compound into the multiple, not multiple expansion from here.

The structural Chrome divestiture remedy the DOJ/states are cross-appealing for is not in our base case but is the largest single binary outcome. Appellate timeline runs into 2027-2028. Adverse ruling = -25% to target, manageable behavioral = -5%.
AI capex without commensurate revenue
FY26-27 capex of $185-200B plus the $80B equity raise create the largest single-company AI capex program in history. If Cloud growth decelerates faster than our 36% CAGR base case, depreciation outpaces revenue ramp and the perpetuity DCF ($168) becomes the operative anchor.
2 · Investment Thesis
1. Search defends in the AI-Overviews era, and the ad pie continues to expand
Q1-26 Search revenue grew 19% YoY — a re-acceleration vs FY2025 driven by retail and financial-services verticals. AI Overviews and AI Mode are now on a large fraction of queries with monetization approaching parity vs legacy 10-blue-links. Morgan Stanley's $15-25B at-risk estimate is material (5-8% of FY25 ad revenue) but not thesis-breaking against an underlying market compounding HSD-LDD.

3 · Financial Analysis
Alphabet’s reported financials over the FY2023A–FY2025A window tell a story of accelerating revenue growth, expanding margin, and a step-function increase in capital intensity. Revenue grew from $307.4B in FY2023 to $402.8B in FY2025, a 14.4% three-year CAGR that materially outperformed the global digital advertising market over the same period. Operating income compounded at 23.7% CAGR (from $84.3B to $129.0B), reflecting both Cloud’s transition from operating loss to operating profit and ongoing operating leverage in the Services segment. The FY2025 operating margin of 32.0% sits 460 basis points above the FY2023 level and represents the second-highest margin in the company’s history.
The revenue mix has shifted measurably toward Cloud. Google Cloud grew from $33.1B in FY2023 (10.8% of total) to $58.7B in FY2025 (14.6%), and the underlying growth rate accelerated from +26% to +36% over the same period as enterprise AI workloads ramped onto GCP infrastructure. Within Google Services, the Subscriptions/Platforms/Devices line grew the fastest (from $34.7B to $48.0B, +18% CAGR) as YouTube Premium, YouTube TV, and Google One/Gemini Advanced compounded. Search and YouTube advertising both grew at low- to mid-teens rates; Network advertising — AdSense, AdMob, the open web — declined modestly as the open-web monetization environment compressed.
Gross margin expanded from 56.6% in FY2023 to 59.6% in FY2025 — an unusually consistent 100-basis-point per-year improvement that reflects Cloud’s emerging scale, ongoing TAC discipline (the cost of search-default placements paid to Apple and others), and infrastructure depreciation efficiencies. Operating margin’s path was non-linear: it jumped from 27.4% in FY2023 to 32.1% in FY2024 as a one-time European Commission charge rolled off, then held flat at 32.0% in FY2025 as AI-related R&D spending stepped up. R&D expense grew 24% in FY2025 to $61.1B, driven by AI compensation and depreciation associated with the Waymo charge.
Free cash flow has been the most volatile line as capex has ramped. Operating cash flow grew from approximately $102B in FY2023 to $166B in FY2025; capital expenditures over the same window grew from $32.3B to $92.0B — a 185% increase over two years. Net free cash flow held roughly flat at ~$74B per year because each dollar of incremental operating cash was offset by a comparable dollar of incremental capex. This dynamic — high incremental OCF growth offset by high incremental capex — is the immediate prelude to the much steeper FY2026 capex peak, which we model as a temporary FCF compression before recovery in FY2028–30.
Q1 2026 (calendar) accelerated the operating story. Consolidated revenue of $109.9 billion (+22% YoY) marked the eleventh consecutive quarter of double-digit growth, with operating income up 30% and operating margin expanding 200 basis points to 36.1% — a record. Google Cloud revenue grew 63% YoY to $20.0 billion, and management disclosed a remaining-performance-obligation backlog of $460 billion — a number that exceeds the combined backlog disclosures of every other public cloud provider and is the single most important data point in the modern Alphabet investment narrative.
The balance sheet remains structurally strong. Cash and short-term marketable securities ended FY2025 at $126.8 billion against $48 billion of total debt — a net cash position of approximately $79 billion before consideration of long-term marketable securities. The June 2026 announcement of an $80 billion equity raise to part-fund AI capex represents a strategic choice to preserve the net cash position through the build-out cycle rather than lever the balance sheet meaningfully; we estimate the post-raise net cash position rises to approximately $130–140B even after FY2026 capex consumption.
4 · Projection Assumptions
We model FY2026E–FY2030E as a five-year explicit period anchored on three macro drivers: (1) AI search transition and the durability of high-intent query monetization; (2) Cloud growth pace and the $460B backlog conversion; (3) the FY2026–28 capex cycle and FCF recovery on the other side. We assume gross margin holds 59.5% in FY26-27 before expanding modestly to 61.0% by FY30E as Cloud scale leverage offsets AI inference cost headwinds; operating margin expands from 32.0% FY25A to 38.6% FY30E on Cloud scale leverage and ongoing opex discipline.
Revenue trajectory (base case). Total revenue grows from $402.8B (FY25A) to $781.6B (FY30E), a 14.2% CAGR with step-down growth: +18% FY26E, +16% FY27E, +14% FY28E, +13% FY29E, +11% FY30E. The growth profile reflects (i) Q1-26 momentum (+22% YoY) decelerating modestly through FY26 as comp bases stiffen; (ii) Cloud sustaining 35%+ growth across the projection on backlog conversion; (iii) Search/YouTube growing at LDD-MDD rates as AI Overviews monetization stabilizes; (iv) Subscriptions/Platforms/Devices remaining the fastest-growing Services line at mid-teens.
Google Services (85% → 71% of revenue). We project Google Services revenue from $342.7B (FY25A) to $558.8B (FY30E), a 10.3% CAGR — decelerating from low-teens to high-single-digit growth as base scales. The $460B contracted backlog disclosed at Q1-26 provides extraordinary visibility into the near-term trajectory: at the current rate of backlog build, contracted revenue will sustain a $200B+ revenue run-rate by FY2028 even before incremental customer wins. Drivers: AI workload migration onto TPU-based infrastructure; Vertex AI platform monetization; BigQuery analytics; Workspace per-seat pricing; public-sector wins (FedRAMP High); the Anthropic multi-billion-dollar GCP commitment; global systems integrator partnerships.
Other Bets (0.4% → 1.5% of revenue). We project Other Bets revenue from $1.5B (FY25A) to $12.0B (FY30E), dominated by Waymo: ~500K paid rides per week in mid-2026 growing to roughly 1.5–2M weekly by FY2028 across an expanded 18–25 metro footprint and initial international markets (London, Tokyo). At current average revenue per ride of approximately $20, the implied annualized trajectory is approximately $1B FY26 → $2-3B FY27 → $4-5B FY28 → $7-8B FY29 → $10-12B FY30. Other Bets operating loss peaks at approximately $5B in FY26-27 (Waymo expansion capex) before improving toward breakeven by FY30 as per-ride economics scale.
Geographic mix. Geographic revenue mix drifts modestly toward the United States over the projection horizon as Cloud (over-indexed domestically) and YouTube subscription products grow faster in the home market. We project: US from 48.5% (FY25A) to 50.0% (FY30E); EMEA from 28.5% to 27.5%; APAC from 16.0% to 15.5%; Other Americas stable at 6.5%. EMEA grows at ~12-13% CAGR vs the consolidated 14.2% — a 100-200bp drag from EUR/USD currency expectations and from European regulatory friction (DMA enforcement, AI Act compliance).
Margin path. Gross margin: 59.5% FY26-27 → 61.0% FY30E. The negative force is AI inference cost (Gemini inference materially more expensive than legacy keyword Search); the positive force is Cloud operating leverage (incremental gross margin in mid-70s as utilization scales). Operating margin: 34.2% FY26E → 38.6% FY30E — a 440bp expansion driven by Cloud scale leverage and overall opex discipline relative to revenue growth. Tax rate held at 15.5% throughout (FDII + SBC deductions + R&D credits + Pillar 2 absorbed).
Capex. Management has guided FY2026 capex to $180–190B (raised from $175–185B at the Q1 print). Our base case embeds $185B FY26E, stepping to $200B FY27E (as additional campuses come online), tapering to $190B FY28E, $170B FY29E, and $160B FY30E. The capex composition is approximately 60% servers and 40% data centers and networking. Depreciation expense follows the capex stock with a 5–7 year useful-life assumption (recently shifted to 6 years for servers per Alphabet disclosures), producing D&A growing from $25.5B (FY25A) to $97B (FY30E).
FCF profile. Free cash flow follows a U-shape: $74B (FY25A) → $25B (FY26E) — a 5% FCF margin trough — → $53B (FY27E) → $112B (FY28E) → $180B (FY29E) → $236B (FY30E) — a 30% margin recovery. The compression is the mechanical consequence of FY26-27 capex outrunning operating-cash growth; the recovery is the harvest as capex normalizes and Cloud margin scales. This is the central feature of the Alphabet investment case.

Concurrently, the broader AI capex cycle peaks in 2026 and digestion begins in 2027 across the industry, with Alphabet’s $460B backlog reverting to a more typical contracted-vs-realized ratio of 60-70%. Capex overshoot at $200B in FY27 produces a depreciation cliff in FY28-30 that exceeds revenue growth. The DOJ appellate ruling escalates from behavioral to structural — Chrome divestiture is ordered.

The Bull/Bear spread of $360 ($180 to $540) is wide — characteristic of an AI-transition bet where path dependency matters more than central tendency. We size the scenario component at only 10% of our blended target weighting precisely because the wide range introduces interpretive noise.
6 · Valuation — and the Lab
We anchor our Scenario Fair Value of $385 on a blend of (i) intrinsic DCF (two methods: perpetuity growth and exit EBITDA multiple), (ii) trading comparables on Forward P/E and EV/EBITDA, and (iii) a probability-weighted 12-month scenario blend across explicitly modelled bull / base / bear outcomes. The five-method weighted average computes to $374; the published target of $385 carries a modest $11/share cushion (~3%) to reflect the structural visibility provided by the $460B Cloud backlog, Waymo option value at the $126B private-market mark, and Gemini-driven Workspace pricing leverage not yet fully embedded in our opex line. Precedent transactions are not applicable at Alphabet’s $4.25 trillion scale — no comparable M&A precedents exist at this size.
DCF analysis — Method 1: Perpetuity growth ($168/share). We discount five years of explicit-period unlevered free cash flow (FY26-30E: $-8B / $18B / $75B / $139B / $192B) at a WACC of 9.8%, then add a Gordon-growth terminal value at g = 2.5%. WACC build: cost of equity 10.0% (4.5% risk-free + 1.10 × 5.0% ERP), after-tax cost of debt 4.06%, equity weight 96%, debt weight 4%. Sum of PV of explicit FCF: $281B. Gordon-growth terminal value: $2,692B; PV of TV: $1,687B (86% of total EV — above the typical 60-70% comfort threshold, which signals that even modest WACC or g changes produce large valuation swings). Enterprise value: $1,967B. Plus net cash $79B → equity value $2,046B. Divided by 12,180M diluted shares → DCF perpetuity value of $168 per share.
DCF analysis — Method 2: Exit EBITDA multiple ($398/share). Terminal value computed as FY2030E EBITDA ($398B) × 18.0x exit multiple = $7,172B. Discounted back five years at 9.8% WACC, PV of terminal value is $4,494B. Adding the $281B PV of explicit-period UFCF produces enterprise value of $4,774B, equity value of $4,853B, and per-share value of $398. The 18x exit multiple is at the low end of the current mega-cap tech range (Microsoft 22x, NVIDIA 38x, Apple 22x). A 16x exit produces $355/share; a 20x exit produces $441/share.
DCF sensitivity. Two-way sensitivity on WACC × terminal growth maps the intrinsic value envelope. At base (9.8% / 2.5%) perpetuity = $168. Sensible bull (8.5% / 3.5%) → $300; bear (10.5% / 1.5%) → $124. The perpetuity DCF alone implies GOOG trades meaningfully above explicit-period intrinsic value on standard assumptions — i.e., the market is pricing in cash-flow growth and multiple-expansion optionality the five-year explicit-period DCF does not capture. We view the perpetuity DCF as the most conservative anchor — it under-weights multiple-expansion optionality from Cloud backlog and Waymo, and is the reason perpetuity carries only 15% method weight vs exit-multiple at 30%.
Trading comparables. Our peer set is nine mega-cap technology and digital-ad/cloud names: MSFT, META, AMZN, AAPL, NVDA, NFLX, ORCL, ADBE, CRM. Peer median Forward P/E is 30.0x (range 24x–38x); peer median EV/EBITDA is 22.0x (range 15x–38x). GOOG currently trades at 30.1x forward P/E and 22.5x forward EV/EBITDA — essentially right on the peer median on both metrics. Which multiples to actually trust for GOOG. We treat P/E (TTM) as primary because Alphabet is a hyper-profitable, asset-light advertising-and-software franchise — earnings power is durable, no cycle-driven inventory write-downs, no capex distortions to operating income. EV/EBITDA (TTM) is the second primary multiple because it controls for the modest net cash position and captures the Cloud margin expansion thesis without being distorted by capex timing. P/Sales (TTM) is a useful secondary sanity check on the absolute revenue multiple given the $80B equity issuance reset market cap. We exclude P/B (asset-light service business; book value bears little economic meaning), P/CF and P/FCF (the FY26-28 capex bracket structurally compresses cash-flow multiples without context), and dividend yield (inaugural dividend Q2 2024 is still scaling; ~0.3% yield is not the right anchor for this franchise).

(NASDAQ: GOOG / GOOGL) is the holding company that owns Google LLC and a portfolio of “Other Bets” businesses, and it is — by almost any operating measure — the most important advertising, search, video, and consumer-AI franchise in the world, with a fast-growing public cloud business attached to it. Headquartered in Mountain View, California, Alphabet is led by Sundar Pichai, who has served as Chief Executive Officer of Google since 2015 and CEO of Alphabet since December 2019. The company employs approximately 183,000 full-time staff, operates in more than 200 countries and territories, and serves several billion monthly active users across its core consumer surfaces — Google Search, YouTube, Android, Chrome, Gmail, Google Maps, Google Photos, and Google Play — each of which independently exceeds two billion monthly users.
Alphabet reports in three segments. Google Services (the legacy advertising and consumer business) generated $342.7 billion of revenue in FY2025 — roughly 85% of consolidated revenue — with Google advertising contributing $294.7 billion and Google subscriptions, platforms, and devices contributing $48.0 billion. Alphabet’s customer base bifurcates by segment. Competitive Landscape
Alphabet’s competitive set is unusually broad because the company competes across multiple distinct markets.
In search and consumer AI, the most important competitors are Microsoft (Bing, Copilot, OpenAI partnership), OpenAI (ChatGPT, the new ChatGPT Search), Anthropic (Claude.ai, with an emerging search product and a deep Google Cloud partnership), Perplexity (AI-native answer engine), and Meta AI (LLaMA-based AI assistant embedded in WhatsApp, Instagram, Facebook). On a pure-query-volume basis Google still handles more than 90% of global search queries; on a high-value-query basis the competitive pressure is more acute, and Morgan Stanley analyst work in early 2026 estimated that mandated choice screens could cost Google 5–8% of search traffic over three years, equivalent to $15–25 billion of annual ad revenue at risk in the most adverse outcomes.
In digital advertising and short-form video, the most important competitors are Meta, TikTok (the most threatening single platform to YouTube’s younger-demo audience), Amazon (retail-media, sponsored ads, Prime Video ad tier), Apple (Search Ads), Microsoft (Bing, LinkedIn, retail-media), Snap, Pinterest, Reddit, and the retail-media networks. Google’s structural advantages here are (1) breadth of intent signal across multiple high-engagement properties, (2) the Performance Max and Demand Gen AI auction engine, (3) Google-owned measurement (more important since Apple’s ATT reshaped open-web attribution), and (4) YouTube’s dominant position in connected-TV viewing.
In public cloud and AI infrastructure, the principal competitors are Amazon Web Services and Microsoft Azure, with Oracle Cloud Infrastructure as a fast-growing fourth. AWS retains the largest installed base and the deepest service catalog; Azure has the most advantaged go-to-market through Microsoft’s enterprise account relationship and the OpenAI exclusive (though that exclusivity has loosened materially since 2024); Google Cloud has won the AI-workload narrative through TPU economics and the Gemini-Vertex AI integration. The 63% Cloud growth rate in Q1 2026 indicates Google is taking share at the workload level, and the $460 billion backlog implies multi-year visibility into continued share gains. CoreWeave, Lambda Labs, Crusoe, and Together AI compete on AI-specific compute rental but at much smaller scale; Meta, ByteDance, Alibaba Cloud, Tencent Cloud, and Huawei Cloud are competitors in regions where Google’s GCP footprint is constrained.

The serviceable opportunity is the full global digital ad market — approximately $750 billion in 2025 growing to north of $1.1 trillion by 2028 — given Alphabet’s presence across search, video, network, and emerging connected-TV. At a 28–30% share today, the open-ended question is whether AI search transition expands the pie (better targeting, better creative generation, lower friction for the long tail of SMB advertisers) or compresses Alphabet’s share (loss of high-value query volume to ChatGPT/Perplexity, structural deflation in cost-per-click as conversational answers reduce ad-load opportunities). Our base case is that the pie expansion effect dominates over a 3–5 year horizon and that Alphabet’s revenue from digital advertising compounds at a high-single-digit to low-double-digit rate from the $295 billion FY2025 base, even with measurable AI-driven query loss.
Public cloud and AI infrastructure TAM. Gartner’s most recent reads put global cloud services spend on a trajectory to exceed $1.5 trillion by 2028, with the AI infrastructure sub-segment growing faster than the overall pool. Google Cloud’s $58.7B FY2025 revenue base represents approximately 4% of the broader cloud-services TAM and approximately 12–13% of the hyperscale IaaS+PaaS sub-segment. Even at conservative assumptions about hyperscaler share stability, the runway to a $200–300 billion Cloud revenue line is several years out at the current 60%-plus growth rate, and the $460 billion contracted backlog gives unusually high visibility into the near-term trajectory.
Autonomous mobility TAM. Global personal-mobility spend (taxi, ride-hail, car ownership) exceeds $5 trillion annually; the autonomous ride-hail addressable sub-segment is widely modeled in the $500 billion–$1 trillion+ range at scale. Waymo’s $355 million annualized revenue is a rounding error against this opportunity; the question is unit economics, not TAM. Plausible 2030 revenue scenarios for Waymo alone range from $10 billion (slow scaling, U.S. only) to $50 billion+ (international expansion executes), justifying the $126 billion private-market valuation.
Consumer AI TAM. Estimates of the consumer AI subscription opportunity coalesce around a $150–300 billion run-rate by the end of the decade across direct subscriptions, bundled AI-enhanced productivity software, and AI-augmented search monetization. Alphabet’s reachable share through Gemini consumer, Gemini Advanced, Gemini for Workspace, and Gemini-augmented Search is among the highest of any Western company given the existing distribution footprint.
The aggregate TAM picture is unusually favorable: Alphabet operates in markets totaling $1.7 trillion in 2025 rising to $3 trillion by 2028, with the company’s effective share in each market between 13% and 30%. There is no single market in this set where Alphabet’s growth runway is mathematically constrained over the projection horizon.
8 · Risks to the Target
We organize risks into four categories: company-specific, industry/market, financial, and macroeconomic. The principal near-term risk is AI-driven search query disintermediation; the principal long-term risk is the DOJ antitrust appellate outcome.
Company-specific risks.
AI-driven search query disintermediation. The single most consequential company-specific risk is that conversational AI assistants (ChatGPT, Claude, Perplexity, Meta AI) progressively displace Google Search for high-value, high-intent queries — especially comparison-shopping, travel-planning, and financial-decision queries that monetize at the highest CPC. Morgan Stanley’s February 2026 work pegged the at-risk amount at $15-25B of annual ad revenue under adverse choice-screen / data-sharing scenarios. Likelihood: medium; severity: high. Mitigant: Search query volume continues to grow in absolute terms in 2026 despite AI competition, and AI Overviews monetization is approaching parity with legacy SERPs.
DOJ antitrust remedies and appellate outcome. The September 2025 Mehta remedies prohibit Google from entering exclusive distribution contracts and compel data sharing. Both sides are now in appellate proceedings: Google filed May 22, 2026; DOJ/states cross-appealed February 3, 2026 seeking the structural Chrome divestiture Mehta declined to grant. The appellate timeline runs into 2027-2028. Likelihood: low for structural, high for behavioral; severity: high in adverse scenarios.
Capital intensity and AI capex ROI. FY2026 capex guided to $180-190B and a $80B equity raise (June 2026) to part-fund the AI buildout represent the largest single-company AI capex program in history. If demand for AI compute does not sustain at the levels implied by current backlog growth, the depreciation cycle accelerates past the revenue ramp. Likelihood: medium; severity: high if margin path stretches.
Key-person and talent attrition. The June 2026 departures of John Jumper (Nobel co-laureate, AlphaFold) to Anthropic and Noam Shazeer (Attention Is All You Need co-author) to OpenAI underscore how mobile the top AI research tier has become. Sustained loss of senior research talent could compound into a perceived model-capability gap. Likelihood: medium and continuous; severity: medium.
European DMA and global regulatory exposure. The EU Digital Markets Act is in full enforcement and has extracted specific product changes. Similar regimes are in force or being drafted in UK (DMCCA), Australia, Japan, Brazil. Cumulative regulatory friction is rising rather than falling. Likelihood: high; severity: low-to-medium per regime, medium aggregated.
Industry/market risks.
Foundation-model commoditization. Capability convergence among Gemini, GPT, Claude, and open-weight models implies that “model quality” alone may not be a durable differentiator at the application layer. If models commoditize, economic rent shifts from selling models to selling distribution — a less profitable posture than current Cloud-with-Gemini-premium pricing. Likelihood: medium-high over 3-5 years; severity: medium.
AI infrastructure overbuild cycle. Industry-wide AI capex of $700B+ in 2026 implies real probability that 2027-28 sees a digestion phase. Alphabet is better positioned than pure-play infrastructure peers because the Cloud backlog is contracted, but a cycle would still compress growth rates and gross margins. Likelihood: medium; severity: medium.
Connected-TV ad-spend competition. YouTube’s dominance in connected-TV is increasingly contested by Netflix, Amazon Prime Video, Disney+, Max, Paramount+ ad tiers. Premium CPMs have been under pressure in 2025-26. Likelihood: medium; severity: low-to-medium.
Financial risks.
Operating-margin compression from AI mix shift. Migration of Search queries to AI Overviews raises per-query compute cost (Gemini inference is materially more expensive than legacy keyword matching) without a proportional uplift in per-query revenue. Likelihood: certain in the short run; severity: medium and self-correcting over 2-3 years.
Equity issuance and dilution. The $80B equity raise (June 2026) — the largest single secondary equity issuance in U.S. corporate history — preserves the balance sheet but introduces a modest dilution headwind (~230M new shares at average $348). Likelihood: certain; severity: low.
Macroeconomic risks.
Advertising cyclicality. Digital advertising remains discretionary; a material recession would compress ad spend across all platforms. A 5% ad-budget compression at consolidated level translates to ~$15B revenue and ~$11B EBIT loss. Likelihood: low-to-medium; severity: medium.
Geopolitical and trade-policy exposure. Alphabet’s AI infrastructure depends on Taiwan-fabricated leading-edge logic (TSMC), Korean/U.S. memory (SK Hynix, Samsung, Micron), Dutch lithography (ASML). U.S.-China trade tensions, Taiwan Strait risk, and export-control regimes are all relevant. Likelihood: medium and continuous; severity: low-to-medium absent a tail event.
